Engagements
This page sets out the general terms, conditions, and framework governing professional engagements undertaken by Satyamaya & Partners. These terms apply across advisory mandates unless expressly modified through a written engagement agreement.
By engaging with Satyamaya & Partners, clients acknowledge and agree to the framework described below.
Status and Capacity of the Firm
Satyamaya & Partners operates as a Corporate Advisory and Consulting Firm providing governance driven, decision level advisory to enterprises, promoters, boards, and leadership teams.
The firm’s work is advisory in nature, focused on governance architecture, regulatory positioning, institutional alignment, and structured decision support across enterprise transitions.
Satyamaya & Partners does not hold itself out as a law firm, audit firm, or accounting firm, except where specific services are undertaken through appropriately qualified independent professionals engaged separately.
Professional Designations
Titles used across the firm, including Partner, Senior Associate Partner, and Associate Partner, represent professional seniority, leadership responsibility, and advisory accountability within the organisation.
Such designations do not, by themselves, imply:
• Legal partnership under statutory frameworks
• Equity ownership or profit sharing rights
• Authority to practise law, advocacy, or representation before courts or tribunals
• Employment or fiduciary roles beyond defined advisory mandates
All professional responsibilities arise solely from written engagement documentation.
Formation of Engagement
No professional relationship is created unless:
• A written engagement agreement, proposal, or mandate letter is issued by Satyamaya & Partners, and
• The engagement is accepted in writing by the client.
Preliminary discussions, exploratory meetings, or informal communications remain non binding unless formalised through written documentation.
Scope of Services
Services are provided strictly within the defined scope set out in engagement documentation.
Any activity not expressly included in writing shall be considered outside scope and may require a separate engagement or amendment.
The firm’s advisory areas typically include:
• Corporate and Transactional Advisory
• Governance and Compliance Architecture
• Capital Structuring and Investment Readiness
• Regulatory and Policy Advisory
• Tax and Fiscal Strategy (Advisory Coordination)
• Risk, Controls, and Internal Reviews
• Founder, Promoter, and Board Advisory
Advisory Nature of Services
Services provided by Satyamaya & Partners are advisory in nature and intended to support informed decision making, governance alignment, and institutional preparedness.
Unless expressly agreed in writing, the firm does not assume:
• Management control
• Operational authority
• Statutory officer roles
• Decision making responsibility on behalf of clients.
Execution Support
Where execution support is provided, including statutory filings, regulatory submissions, documentation coordination, or compliance actions, such activities are undertaken in support of an advisory mandate and do not constitute standalone execution services.
Execution elements remain aligned with governance structuring and advisory outcomes.
Client Responsibilities
Clients remain solely responsible for:
• Business decisions and commercial judgement
• Accuracy and completeness of information provided
• Regulatory declarations, representations, and submissions
• Implementation of advice and governance actions
Satyamaya & Partners may rely on information provided by the client without independent verification unless specifically agreed.
Independent Professionals and External Advisors
Certain engagements may involve coordination with independent professionals or external advisors, including legal counsel, auditors, tax advisors, or regulatory specialists.
Such professionals operate independently and remain responsible for their own services, opinions, and statutory obligations.
Association with such professionals does not create partnership, joint venture, or shared liability arrangements.
No Legal Practice or Advocacy
Satyamaya & Partners does not provide legal advocacy, court representation, or practice of law unless expressly agreed and undertaken through appropriately qualified external counsel.
In matters involving disputes or litigation exposure, the firm’s role is limited to governance alignment, risk assessment, procedural preparedness, and strategic coordination.
Confidentiality
All information exchanged during the course of an engagement is treated as confidential and used solely for purposes related to the advisory mandate, subject to applicable laws and regulatory requirements.
Fees and Payment Terms
Fees, billing structures, timelines, and payment obligations are governed exclusively by written engagement agreements.
Failure to adhere to agreed payment terms may result in suspension or termination of services.
Limitation of Liability
To the maximum extent permitted by applicable law, Satyamaya & Partners shall not be liable for:
• Decisions taken by clients based on advisory inputs
• Losses arising from incomplete or inaccurate information provided by clients
• Indirect, incidental, or consequential damages
Any liability, if applicable, shall be limited to the extent expressly agreed in writing.
Third Party Reliance
Advice and deliverables issued by Satyamaya & Partners are intended solely for the use of the engaging client.
No third party may rely upon such materials without prior written consent.
Termination
Either party may terminate an engagement in accordance with the termination provisions set out in the engagement documentation, subject to settlement of obligations accrued up to the date of termination.
Governing Law and Jurisdiction
Unless otherwise agreed in writing, engagements are governed by the laws of India and subject to the jurisdiction of courts in India.
Amendments
Satyamaya & Partners reserves the right to amend or update these engagement terms from time to time. Continued engagement with the firm constitutes acceptance of such updates.
